Terms of Use & EULA

Internal-use license terms for authorized users of the Transaction Manager.

Effective October 4, 2026 · Questions may be sent to jcalvillo@growthbound.com.

1. Agreement and eligibility

These Terms of Use and End User License Agreement (“Terms”) govern access to Transaction Manager (the “Application”), operated by GrowthBound LLC (“GrowthBound,” “we,” “us,” or “our”). By accessing the Application, you agree to these Terms.

The Application is not offered to the general public. You may use it only if GrowthBound has authorized you as an employee, contractor, administrator, or other approved business user and you have authority to access every QuickBooks company you connect or manage.

2. Internal-use license

Subject to these Terms, GrowthBound grants authorized users a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Application solely for approved internal business purposes. No ownership interest is transferred.

You may not sell, lease, sublicense, publicly distribute, reverse engineer, interfere with, or use the Application to provide services to an unauthorized third party, except where a restriction is prohibited by law.

3. Accounts and access

You are responsible for protecting your account, device, authentication factors, and browser session. You must promptly report suspected unauthorized access. GrowthBound may suspend or revoke access at any time, including when a user’s role changes, authorization ends, or security is at risk.

QuickBooks access is governed separately by your agreement with Intuit. You must not connect a company or initiate an action unless you are authorized to do so.

4. Accounting review and approvals

The Application assists with categorization, reconciliation, automation, and execution of accounting workflows. Suggested categories, payees, classes, matches, splits, dates, rules, or other outputs may be incomplete or incorrect.

Users remain responsible for reviewing transactions and ensuring that every posting, exclusion, reversal, creation of a vendor, rule, and other accounting action is accurate, properly supported, and permitted. The Application is not accounting, tax, legal, or financial advice and does not replace professional judgment.

5. Acceptable use

You agree not to:

  • Access data, companies, or features beyond your authorization.
  • Bypass security controls, impersonate another user, or share credentials or worker tokens.
  • Upload malicious code, disrupt synchronization, overload the service, or attempt unauthorized testing.
  • Use the Application in violation of law, Intuit requirements, or a connected company’s policies.
  • Misrepresent the Application as an Intuit or QuickBooks product.

6. Data and connected services

You retain whatever rights you or the connected company hold in submitted and synchronized data. You authorize GrowthBound to process that data as reasonably necessary to provide, secure, maintain, and support the Application.

The Application depends on QuickBooks Online, Intuit APIs, browser sessions, hosting services, and other third-party systems. Those services may change, become unavailable, impose limits, or require separate terms. GrowthBound is not responsible for third-party services or for changes made directly in QuickBooks outside the Application.

7. Confidentiality

Information accessible through the Application may be confidential. You must protect it using at least the same care you use for comparable sensitive business information and may disclose it only to persons authorized by the connected company or as required by law.

8. Availability and changes

We may modify, suspend, or discontinue any part of the Application. Synchronization, automation, transaction history, and third-party links may occasionally be delayed, incomplete, or unavailable. We may establish reasonable usage, retention, or operational limits.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE.” GROWTHBOUND DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.

We do not warrant that the Application will be uninterrupted, error-free, secure, or that suggestions or synchronized records will always be accurate. Some jurisdictions do not permit certain disclaimers, so portions of this section may not apply.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROWTHBOUND AND ITS MEMBERS, EMPLOYEES, CONTRACTORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, TAX CONSEQUENCES, OR ACCOUNTING ERRORS ARISING FROM OR RELATED TO THE APPLICATION.

Where liability cannot be excluded, GrowthBound’s aggregate liability relating to the Application will not exceed the greater of amounts paid specifically for the Application during the preceding twelve months or one hundred U.S. dollars. This limitation does not apply where prohibited by law.

11. Termination

Your license ends immediately when your authorization ends or these Terms are breached. Upon termination, you must stop using the Application and remove locally installed synchronization components and credentials when instructed. Provisions that by their nature should survive—including confidentiality, disclaimers, limitations, and governing law—will survive.

12. Governing law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Subject to any non-waivable rights, disputes will be brought in the state or federal courts located in North Carolina, and the parties consent to their jurisdiction.

13. General terms

These Terms, together with the Privacy Policy and any written internal policies that apply to you, form the agreement concerning the Application. If one provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without GrowthBound’s written consent.

GrowthBound may update these Terms. Continued use after an update takes effect constitutes acceptance, subject to applicable law.
